Turkish conglomerate Dogan Holding has agreed to sell its entire stake in Romanian broadcaster Kanal D Romania for €109 million ($121.61 million) in a deal signed Monday with Romanian Content Project S.R.L., jointly owned by Clever Media Network and EAD.RO Interactive.

The agreement covers 100% of Dogan Media International S.A., which operates under the Kanal D Romania brand. Its portfolio includes the Kanal D and Kanal D2 television channels, Radio Impuls and digital media operations.

The company said the payment will be made in installments and is subject to certain adjustments. The transaction remains subject to regulatory approval and the completion of other legal procedures.

Clever Media takes over Dogan

The Turkish conglomerate highlighted that Dogan Media International ranks among Romania's three largest media groups, while Kanal D, which has operated in the country since 2007, consistently ranks first in daytime programming and second in prime-time national audience ratings.

Dogan Holding said the sale aligns with its strategy of focusing on its priorities, streamlining its portfolio and creating long-term value. Until the deal closes, Dogan Media International will continue operating under its existing structure, with its teams and brands continuing their activities without interruption.

Clever Media Network, backed by businessman Adrian Tomsa, operates 18 television channels, including Prima TV, Prima News and Prima Sport. Its digital portfolio includes platforms such as Profit.ro, Cotidianul.ro, Life.ro and PrimaPlay.ro.

The acquisition will expand Clever Media's presence across television, radio and digital publishing by bringing the two groups' media brands under one portfolio.

Clever Media described the deal as one of the most significant acquisitions in Romania's media industry, saying it would create new opportunities for expansion across television, radio and digital platforms.

Dogan retreats further from media

The sale of Kanal D Romania marks another step in Dogan Holding's retreat from the media sector, following its divestment of major Turkish media assets in 2018.

The conglomerate sold its Turkish media operations to Demiroren Holding in a deal initially valued at $893 million, transferring ownership of several prominent newspapers, television channels and other publishing and broadcasting businesses.

The transaction included newspapers such as Hurriyet and Posta, television channels Kanal D and CNN Turk, the Dogan News Agency and other media assets.

Despite its withdrawal from the Turkish media market, Dogan Holding retained its Romanian broadcasting business through Dogan Media International.

Following the sale, the group's remaining media-related businesses include Turkish radio broadcaster Rapsodi Radyo and magazine publisher Dogan Yayincilik. Its internet and entertainment portfolio also includes Hepsiemlak, an online real estate platform, and investment subsidiaries DMC Invest, Dogan Media Invest and Glocal Invest.

Dogan Holding reported consolidated revenue of ₺93.7 billion ($1.9 billion) in 2025, down 10.7% from ₺104.9 billion a year earlier. Its internet and entertainment segment, which includes Kanal D Romania and other media and digital businesses, generated ₺4.4 billion in revenue, up 5.3% from ₺4.2 billion in 2024.
